# Terms of Service

*Last updated: 21 October 2026. These terms apply to every quotation, order confirmation and shipment from Shimao New Materials unless a signed supply agreement states otherwise.*

**Quick answer:** Shimao sells B2B on EXW or FOB terms under Incoterms 2020, and prices cover product value only. A contract forms when we issue a written order confirmation and the deposit is paid; risk passes at handover, warranty runs 2–5 years by product line, and liability is capped at the invoice value of the affected goods.

## Who do these terms apply to?

These terms govern the supply of paint protection film (PPF), color change film and window film by Shimao New Materials (“Shimao”, “we”) to business buyers — distributors, installers, OEM programs and private-label brands. They cover B2B transactions only: this website is not a consumer shop, and distance-selling consumer rules do not apply to orders placed here. Where documents conflict, a signed supply agreement prevails over the proforma invoice, and the proforma invoice prevails over this page.

## How is an order formed and accepted?

An enquiry and a quotation are invitations to negotiate, not binding offers. A contract is formed when Shimao issues a written order confirmation or proforma invoice and the buyer pays the agreed deposit. The buyer is responsible for the accuracy of specifications, artwork, widths, roll lengths, colors and consignee details supplied. Once artwork or a custom specification is approved in writing it is treated as final for production, and later changes are handled as a new order subject to re-quotation and a revised lead time.

## What do prices, payment and taxes include?

Prices cover the product unit value only. International freight, insurance, customs clearance, duties, taxes and local delivery are excluded and remain the buyer’s responsibility unless a written quote states otherwise. Prices are quoted in US dollars and are valid for 15 days unless stated. Standard payment is a 30% deposit with the balance before shipment by bank transfer, and bank charges are borne by the payer. Goods remain Shimao’s property until the invoice is paid in full, and overdue amounts may attract interest at 0.05% per day.

## What are the delivery terms, and when does risk pass?

Goods ship EXW or FOB under Incoterms 2020, with the term confirmed in writing on the proforma invoice. Under EXW Shimao prepares and hands over the goods at the Dongguan factory; under FOB it hands them over on board the vessel at the named port. Lead time is 7–15 days for stock items and 15–25 days for custom production after specification approval, counted from receipt of the deposit. Risk passes to the buyer at the point of handover, so the buyer should insure the shipment from that moment.

Reference material: [ICC Incoterms 2020](https://iccwbo.org/business-solutions/incoterms-rules/incoterms-2020/) sets out the delivery and risk rules used here, and the [U.S. Commercial Service country commercial guides](https://www.trade.gov/country-commercial-guides) cover export and customs practice.

## How are inspections, defects and returns handled?

The buyer must inspect each shipment on arrival and note visible damage or short delivery on the carrier’s documents before signing. Hidden defects must be reported within 14 days of delivery with dated photos or video, the roll batch number and the invoice reference. No material may be installed, cut or processed before a claim is raised, because doing so removes the evidence needed to assess it. Returns require written authorization (RMA) in advance, and unauthorized returns are refused at the buyer’s cost. Full return and refund conditions are set out on the [Returns & Refunds](/refund_returns/) page.

## What warranty applies to the films?

Shimao films carry a performance warranty of 2 to 5 years depending on product line, rising to up to 10 years on premium clear PPF. The warranty covers manufacturing defects and material performance under correct installation — no abnormal yellowing, peeling, cracking, bubbling or fading — and excludes damage from accidents, improper chemicals, aggressive washing, repainting or storage beyond shelf life. Coverage by product line, the claims procedure and installation requirements are documented on the [Warranty & After-Sales](/warranty/) and [Support](/support/) pages.

## What is the limit of Shimao’s liability?

Shimao’s liability for any claim is limited to the invoice value of the affected goods. We do not accept liability for installation labor, removal or reinstallation costs, third-party customer claims, loss of profit, loss of market or any indirect or consequential loss. Where a defect is confirmed the remedy is, at our option, replacement material, credit against a future order or a refund of the affected portion. This allocation applies to the fullest extent permitted by the governing law.

## Who owns intellectual property and how is confidential information handled?

All site content, product names, technical data sheets, formulations and manufacturing know-how remain the property of Shimao New Materials. Buyer trademarks, artwork and packaging designs remain the buyer’s property and are used only to manufacture that buyer’s order. Neither party may disclose the other’s pricing, specifications or business information to third parties without written consent, and neither may reverse-engineer the other’s materials. A mutual non-disclosure agreement is available on request before drawings or technical samples are exchanged.

## What compliance and export obligations apply?

The buyer is responsible for import licensing, product registration, labeling, safety and environmental compliance in the destination market, and for confirming that the ordered products may lawfully be imported and used there. Both parties comply with applicable export control, sanctions and anti-bribery laws, and neither will offer or accept improper payments in connection with an order. Shimao supplies the commercial documentation needed for customs clearance but does not act as importer of record.

## How can these terms change, and which law governs disputes?

We may update these terms as products, regulations or trade practices change. The version in force is the one published when an order is confirmed, and that version governs the order. These terms are governed by the laws of the People’s Republic of China. Disputes that negotiation cannot resolve within 30 days are referred to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Shenzhen, conducted in English, and the award is final and binding on both parties.

## How do I contact Shimao about these terms?

Questions about these terms, a contract clause or a specific order go to [sales@smwrapfilm.com](mailto:sales@smwrapfilm.com) or through the [contact page](/contact-us/). Include the proforma invoice or order reference so the team can answer precisely. Correspondence is handled in English; translated versions of this page are provided for convenience, and the English text prevails in case of conflict.
